Data Warehouse Connector Migration Offer Promotion Terms and Conditions

Effective starting: August 22, 2023

These are the terms and conditions that govern how the Data Warehouse Connector Migration Offer Promotion (the “Promotion”) will operate. In these terms and conditions, “we,” “our,” “us,” and “Mixpanel” refer to Mixpanel, Inc., the sponsor of this Promotion.  “You” refers to an eligible Promotion participant.

Promotion Description

During the Promotion, participants that comply with certain eligibility requirements will have the opportunity to import Historic Events to the Application Services via Warehouse Connectors at no additional cost within 90 days of signing up for Mixpanel (“Offer Period”).

Start and End Dates

The Promotion starts on August 22, 2023, and ends on January 31, 2024 (“Entry Period”). This Entry Period may be extended without notice.

Eligibility

You are eligible to participate in this Promotion if you meet the following requirements:

• You create a paid account for the Application Services by submitting a sign-up form for a Growth or Enterprise edition at a monthly or annual subscription term. 
• You have not been a paid Mixpanel customer in the previous calendar year.

Other Terms and Conditions

Definitions:

• “Agreement” means the Master Services Agreement available at https://mixpanel.com/legal/terms-of-use.
• “Event Date” means the date that is transferred to Mixpanel with an Event. The Event Date typically corresponds to the date an user completed an action on a web or mobile application. In the event that an Event Date is not transferred to Mixpanel with an Event by you, the Event Date  is recorded as the date we received the Event. 
• “Historic Event” means an Event with an Event Date at least 30 days prior to the Sign-Up Date.
• “Sign-up Date” means the date that you sign-up and complete your purchase of Mixpanel.
• “Warehouse Connectors” means the load and sync of data to the Application Services from third party data warehouses as further described here.
• Any capitalized but undefined terms herein shall have the meaning set forth in the Agreement.

If the Historic Events transferred to Mixpanel consume greater than 1 billion Events, we reserve the right, in our sole discretion, to disallow the transfer of additional Historic Events upon notice to you. Additionally, we reserve the right, in our sole discretion, to remove Historic Events in excess of 1 billion Events.

To accept and abide by these terms and conditions;

If you are accepting the terms of this Promotion on behalf of your employer or another entity, you represent and warrant that you (i) have read and understand these terms, (ii) have full legal power and authority to bind your employer or such entity to these terms and (iii) agree to these terms on behalf of the party you represent.  Please do not accept these terms (by submitting the contact form) if you do not have the legal authority mentioned above; and 

In addition to these terms and conditions, your use of Mixpanel’s products, including any import of Historical Events contemplated hereunder, is governed by the Agreement, unless you and Mixpanel have entered a written governing Master Services Agreement, in which case such written agreement will govern.

In the case that your historic backfill exceeds 1 billion Events, our team may give notice about potential blocking of additional backfills and may remove historic events in excess of 1 billion Events.

This offer is only available for data implemented via Warehouse Connectors. It is not available for other implementation methods such as SDKs, CDP, etc.

We currently support Snowflake, BigQuery, and Redshift, so this offer is only valid for those warehouses for now.

Historic events are defined as events that are timestamped at least 30 days prior to the date you signed up with Mixpanel. More information can be found above in the terms and conditions.
